Lexington KY Registered Agent Services
What is a Registered Agent and a Registered Office in Kentucky and why do I need them for my Kentucky business?

A registered agent is an individual or company in Kentucky that receives important legal documents on behalf of your business (such as your Kentucky LLC, corporation, limited partnership, PLLC, etc.). The most important function of a Kentucky registered agent is receiving service of process on behalf of a company when the company is sued or named as a
party in a legal action.
All Kentucky businesses must have a registered office and a registered agent at that office. When you start a business in KY, you must designate said registered agent as part of your Articles of Organization (for an LLC) or Articles of Incorporation (for a corporation). The registered agent can be an individual or an entity as long as the person or entity’s business
address is identical to the registered office.
Some business owners elect to serve as their own registered agent. For example, John Smith might create Acme Example Company, LLC and identify his own principal place of business as his registered office and name himself as the company’s registered agent. If Acme Example Company, LLC gets sued and a sheriff comes to the door, John Smith will receive service of
process on behalf of the company as its registered agent.
The date of “getting served” is a big deal in Kentucky because it starts the clock on certain deadlines that must be met in Court.
Although this arrangement makes sense for some businesses, there are also some drawbacks to consider. You could miss an important notice or legal document if your mail is not handled promptly, expeditiously, and responsibly. For example, if you receive service of process by certified mail but you do not open it for three weeks for whatever reason (let’s say you’re
traveling and your secretary slips it under a stack on your desk), you may already be in default in a court case.
Many Kentucky business owners also want to avoid the potential for public embarrassment – you never know when a sheriff might show up to serve papers in front of the business owner’s co-workers and/or staff.
These types of issues can be avoided by outsourcing a registered agent’s services. The Law Offices of W. Breckinridge Norment III, P.S.C. offers this service in connection with the formation of new Kentucky companies, but we are also available to serve as registered agent if your company is already in existence. Then, if your company gets served with a lawsuit, our law office will be the first to know. We will notify you as soon as practicable and can either discuss potential representation in the lawsuit or do our best to point you in the right direction if you need referrals beyond our many Kentucky practice areas.
Our office prides itself on offering a variety of services to business owners in Kentucky, especially in Lexington and in the central Kentucky area, but also all across the Commonwealth. If you need assistance creating a business or if you would like to discuss the potential for us acting as the registered agent for your KY business, please contact our office for a free
